GLP Advises Everi Holdings, Inc. in Acquisition of IGT Gaming and Digital and the Sale of Everi and IGT Gaming and Digital to Apollo

We are pleased to announce that Global Leisure Partners LLC (“GLP”) acted as exclusive financial advisor to Everi Holdings, Inc. (“Everi”) in its acquisition of IGT Gaming & Digital and the sale of both Everi and IGT Gaming & Digital to Apollo in a $6.3 billion all-cash total series of transactions (the “Transactions”). The Transactions, announced 10 months ago, closed July 1, 2025 upon receipt of all required regulatory approvals.

GLP has now advised on $75+ billion of M&A transactions since its inception in 2004, including the largest gaming industry buyout, Caesars Entertainment, $30.1 billion, advising Apollo.  These Transactions are amongst the largest in the gaming equipment technology and services sector.

Everi shareholders are receiving $14.25 per share in cash, representing a 56% premium to the closing price the day prior to announcement. IGT is receiving $4.05 billion in gross cash proceeds for IGT Gaming & Digital.
